Lawyer – Legal‑North America Loan Origination and Syndication Group
Job Responsibilities
- Assist with the review, drafting, and discussion of non‑disclosure agreements, non‑reliance letters, collateral release agreements, and, depending on volume, bilateral loan agreements, security agreements, guarantees, amendments, and other transactional documents.
- Work with the Bank’s Office of the Secretary to generate or obtain supporting corporate documents as required for transactions, such as powers of attorney, incumbency certificates, and other similar documents.
- Prepare and file various UCC financing statements and conduct UCC lien searches.
- Assist with other special projects as needed.
Required Skills
- Excellent English language skills, both spoken and written.
- Prior experience working on legal documentation governed by U.S. state law (such as NY) – preferable.
