**Asst General Counsel**
**Description**
+ Coordinate Requests for Information (RFIs)/Requests for Proposal (RFPs)/Requests for Quotation (RFQs) with internal and external customers.
+ Draft and negotiate complex commercial contracts (distribution, licensing, strategic sourcing, state and local government procurements, and various sales and services agreements).
+ Extensive experience drafting, reviewing, and negotiating Software as a Service (SAAS) agreement, including data processing agreements that address complex data privacy requirements and regulatory compliance.
+ Proven ability to prepare and negotiate Service Level Agreements (SLAs), ensuring clear expectations for service delivery, performance standards, and data protection obligations.
+ Be a principal advisor to sales and procurement professionals on a broad range of commercial and government contracting issues involving domestic and international customers and vendors.
