Job Description
Key Responsibilities:
- Legal entity opening and management for every new deal, working with internal and external counterparties to get the legal entities setup
- Engagement with various deal parties – i.e custodians, servicers, collateral agents, due diligence counterparties etc. – set up, on-boarding, etc.
- Review and executing NDAs w/outside counsel
- Creating processes and checklists as new asset classes/legal forms are established
- Build out robust post close monitoring with our Asset Mgmt team
- End-to-end support across deal lifecycle: term sheet review, diligence, documentation,
- closing, and post-close monitoring
- Extensive experience reviewing and abstracting credit agreements, ABL facilities,
- unitranche structures, and bespoke financing arrangements
- Managed closing checklists and conditions precedent for complex multi-lender
