The Company Secretaryisexpectedtobethecustodianofthe Group’scorporatearchitectureandgovernancememory. Thisrequiresahighlyorganizedthinkerwhocanunderstand,maintainandexplainthestructureofacomplexmulti-jurisdictionalgroup,includingeachsubsidiary,affiliate,andrelatedentity,howthoseentitiesareconnectedthroughshareholding,ownership,control,contractualrelationshipsandultimatebeneficialownership,andhowthoserelationshipsarereflectedinstatutoryregisters,corporaterecords,constitutionaldocumentsandgovernanceapprovals.

Thisisnotapurelyadministrativerole. Thesuccessfulcandidatemustbeabletoreadanorganizationalchartasalegalandgovernancemap:understandingcapitalstructure,shareclasses,votingrights,directorappointments,shareholderauthorities,intercompanyarrangements,outsourcedfunctions,related-partyrelationshipsandarm’s-lengthconsiderations.
