We are seeking a highly skilled and experienced Senior Legal Counsel (m/f/diverse) with expertise in Mergers & Acquisitions to join our dynamic legal team in Hannover, Germany. As a key member of our Central Law Department, you will provide legal advice in strategic projects and transactions of the Tire Sector involving the acquisition and divestiture of companies and/or business, the establishment and separation of joint ventures in particular:
Advising in the evaluation phase such as preliminary feasibility study of the transaction, carve out concept, transaction structure, and on documentation, like NDAs, release letters, engagement agreements, process letters, indicative offers, defense agreements, market studies for merger control purposes, etc.Advising in organization phase, including establishing insider lists, drafting insider information sheets, drafting individual undertakings regarding confidentiality/insider trading.
